Job Description

Job Purpose

The Senior Legal Counsel will provide expert legal guidance and strategic advice to support the company’s business objectives while ensuring compliance with all applicable laws and regulations. This role involves managing legal risks, drafting and reviewing contracts, advising on corporate governance, handling regulatory matters, and supporting dispute resolution. The Senior Legal Counsel will act as a trusted advisor to management and play a key role in safeguarding the company’s legal and ethical integrity.

Key Responsibilities

1. Legal Advisory & Compliance

                •             Provide timely legal advice to management and business units on a wide range of matters including contracts, employment, compliance, intellectual property, and corporate law.

                •             Ensure compliance with local, regional, and international laws governing manufacturing operations.

                •             Monitor changes in laws and regulations affecting the industry and recommend proactive measures.

                •             Support corporate governance processes, including Board and shareholder matters.

2. Contract Management

                •             Draft, review, and negotiate contracts with suppliers, distributors, contractors, and service providers.

                •             Ensure contracts protect the company’s interests, mitigate risks, and align with business objectives.

                •             Maintain a contract management system to monitor obligations and deadlines.

3. Dispute Resolution & Litigation Management

                •             Oversee and coordinate litigation, arbitration, and regulatory investigations involving the company.

                •             Engage and manage external counsel when required, ensuring cost-effectiveness and quality service.

                •             Develop strategies for dispute avoidance and early resolution of conflicts.

4. Risk Management & Policy Development

                •             Identify potential legal risks and develop mitigation strategies.

                •             Draft and implement internal policies to ensure legal and ethical compliance across departments.

                •             Conduct legal training and awareness sessions for staff on compliance, ethics, and regulatory obligations.

5. Corporate Transactions & Advisory

                •             Support mergers, acquisitions, joint ventures, and other corporate transactions.

                •             Provide legal due diligence, structure deals, and advise on transaction risks.

                •             Ensure intellectual property rights are protected, registered, and enforced.

Qualifications & Requirements

                •             Bachelor of Laws (LLB) degree; Master’s in Law (LLM) or additional certifications (e.g., Company Secretary, Arbitration) preferred.

                •             Called to the Bar and licensed to practice law in the relevant jurisdiction.

                •             Minimum of 10–15 years’ post-qualification experience, with at least 3 years in a senior legal position.

                •             Solid experience in corporate/commercial law, manufacturing/industrial sector exposure preferred.

                •             Proven track record in contract negotiation, dispute resolution, and regulatory compliance.

                •             Strong analytical, advisory, and problem-solving skills.

                •             Excellent communication, drafting, and negotiation abilities.

                •             Ability to work independently and provide strategic guidance under pressure.
