As part of our strategic growth and governance framework, we seek a highly skilled and experienced Corporate Lawyer to join our executive management team.
Position Overview
As the Executive Corporate Lawyer, you will lead and manage the company’s legal and compliance function in Ghana. You will provide strategic legal counsel to the executive team, ensure full compliance with local and international regulatory frameworks, and oversee legal risk management related to mining operations, commercial transactions, land acquisition, and community engagement.
You will act as a trusted advisor on complex legal and regulatory matters and collaborate closely with both internal departments and external stakeholders, including regulators, communities, and international partners.
Key Responsibilities
Strategic Legal Advisory
- Advise the Board and executive management on corporate legal matters, governance, and strategic decision-making.
- Provide legal support high-value commercial transactions, including mergers, acquisitions, joint ventures, and capital projects.
- Lead legal due diligence efforts and contract negotiations with suppliers, investors, and government agencies.
Mining Operations & Regulatory Compliance
- Ensure compliance with Ghanaian mining laws (Minerals and Mining Act, 2006, Act 703 and its amendments), environmental regulations, and international ESG standards.
- Support licensing, permits, and regulatory filings with the Minerals Commission, EPA, GRA, and other authorities.
- Provide legal guidance on exploration and development agreements, surface rights, community resettlement frameworks, and environmental obligations.
Contract & Commercial Management
- Draft, review, and negotiate complex mining, construction, procurement, and service contracts.
- Oversee contract lifecycle management and dispute resolution mechanisms.
- Monitor and manage litigation, arbitration, or administrative proceedings involving the company.
Risk Management & Governance
- Identify legal risks and develop mitigation strategies aligned with business operations.
- Develop internal policies and corporate governance frameworks that comply with local laws and global best practices.
- Conduct periodic training and compliance workshops for senior managers and operational teams.
Stakeholder Engagement
- Serve as legal liaison to external law firms, industry bodies, regulatory agencies, and community leaders.
- Support CSR and land use negotiations, ensuring legal fairness, transparency, and long-term sustainability.
Requirements
Education & Qualifications
- Bachelor of Laws (LL. B) and Qualifying Certificate in Law (QCL).
- Must be a Barrister or Solicitor of the Supreme Court of Ghana and a member in good standing of the Ghana Bar Association.
- A postgraduate degree in Law (LL.M), Corporate Governance, Natural Resources Law, or a related field is advantageous.
Experience
- Minimum 5 years post-call experience, with at least 2 years in a senior or executive legal role, ideally within the mining, energy, or natural resources sector.
- Strong experience in corporate, commercial, regulatory, and contract law.
- Experience managing legal teams and working in a multinational or cross-border legal environment.
