Job Summary

The Contracts Manager oversees the entire contract lifecycle for the mining operation, ensuring that all agreements from procurement and logistics to equipment leasing and service contracts align with Chinese and Ghanaian best practices. This role ensures compliance with Ghana’s Minerals Commission regulations, local content policies, and international contract standards while fostering strong relationships with Chinese and Ghanaian suppliers, contractors, and regulatory bodies. The Contracts Manager is strategically responsible for negotiating, managing risks, optimizing costs, and ensuring operational efficiency.

Key Responsibilities

1. Contract Development & Strategy

  • Develop and implement a contracting strategy aligned with the Chinese corporate approach and Ghanaian mining regulations.
  • Establish long-term contractual frameworks that support operational efficiency and local content compliance.
  • Analyze market trends and contractor capabilities to optimize mining services, equipment, and raw materials sourcing strategies.

2. Contract Negotiation & Execution

  • Lead high-value contract negotiations with suppliers, service providers, and construction firms, ensuring the best financial and operational outcomes.
  • Ensure contracts reflect competitive pricing, performance-based clauses, penalties, risk-sharing mechanisms, and dispute resolution frameworks.
  • Work closely with the legal team (both Chinese and Ghanaian) to align contract terms with local and international standards.
  • Develop Master Service Agreements (MSAs) and long-term supply contracts to improve efficiency and reduce renegotiation frequency.

3. Regulatory Compliance & Risk Management

  • Ensure all contracts comply with Ghana’s Minerals and Mining Act, 2006 (Act 703), Environmental Protection Agency (EPA) requirements, and Local Content Regulations.
  • Monitor regulatory updates from the Minerals Commission, Ghana Revenue Authority (GRA), and other governmental agencies to maintain contract compliance.
  • Identify and mitigate legal, financial, and operational risks through contract structuring and compliance audits.
  • Collaborate with regulatory authorities to ensure smooth licensing, permits, and approvals for Chinese expatriate workers and foreign contractors.

4. Supplier & Contractor Relationship Management

  • Build and maintain strong relationships with Chinese and Ghanaian suppliers and service providers.
  • Develop key performance indicators (KPIs) for contractors and ensure high service levels in line with safety, environmental, and ethical standards.
  • Monitor contractor performance, manage disputes, and ensure continuous improvements in contract delivery.

5. Cost Optimization & Financial Management

  • Develop cost-control mechanisms within contracts to maximize savings and value for money.
  • Implement currency fluctuation and inflation protection measures to safeguard against market volatility.
  • Support the finance team in contract payments, milestone verifications, and tax compliance for local and international vendors.

6. Operational Efficiency & Digital Integration

  • Work with the procurement and logistics teams to ensure timely and cost-effective contract execution.
  • Utilize ERPsystems (SAP, Oracle, or Chinese platforms like UFIDA, Kingdee) for contract management and real-time tracking.
  • Introduce digital contract workflows to enhance efficiency and transparency in approval processes.

7. Stakeholder Engagement & Communication

  • Act as the primary liaison between Chinese investors, Ghanaian government agencies, and local communities on contract-related matters.
  • Ensure transparency and accountability in contract awards and supplier selections to meet ethical standards.
  • Prepare regular reports for senior management (both in Ghana and China) on contract status, risk exposure, and cost savings.
